Agreement Overview

These Terms and Conditions ("Terms") govern the relationship between you ("Client", "you") and Learnmind.ai LLC ("Learnmind.ai", "we", "us", "our"), a company registered in New Mexico, United States, operating from Dubai, United Arab Emirates. By engaging our services, signing a proposal or service agreement, or using any system built by Learnmind.ai, you agree to these Terms in full.

These Terms apply alongside any specific service agreement, proposal, or statement of work signed between you and Learnmind.ai. In the event of a conflict between these Terms and a signed service agreement, the service agreement takes precedence.

What We Do

Learnmind.ai is an AI automation agency. We design, build, and manage AI-powered customer communication systems for businesses. Our services include, but are not limited to:

  • WhatsApp Automation: AI assistants that handle customer inquiries, bookings, follow-ups, and lead qualification via WhatsApp Business API.
  • Instagram and Facebook Automation: AI-powered comment replies, DM automation, and lead capture through Meta's social media platforms.
  • AI ROAS Optimisation: Systems that protect and improve return on ad spend by ensuring every ad-generated inquiry receives an instant, intelligent response.
  • AI Voice Reception: Voice-based AI systems that answer calls, handle inquiries, and route conversations.
  • AI Avatars: AI-generated video content and virtual representatives for client businesses.
  • Custom Solutions: Bespoke AI automation workflows tailored to specific business needs, including CRM integrations, appointment booking, payment collection, and multi-channel communication orchestration.

Engagement and Onboarding

Each engagement begins with a discovery process during which we learn about your business, communication needs, and goals. We then provide a proposal outlining the scope of work, deliverables, timeline, and pricing. Work begins upon your acceptance of the proposal and receipt of any required upfront payment.

You agree to provide timely access to the information, accounts, and platforms necessary for us to deliver the agreed services. This may include access to your WhatsApp Business account, Meta Business Suite, CRM systems, booking platforms, and any relevant business documentation.

Delays caused by incomplete or late provision of required information or access may extend project timelines. We will communicate any such delays promptly.

Client Responsibilities

  • Accuracy of Information: Providing accurate and up-to-date business information for use in AI-generated responses, including pricing, service descriptions, availability, and policies.
  • Compliance: Ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction, including data protection, consumer protection, advertising standards, and platform terms of service.
  • Customer Communication: You are the data controller for your customers' personal data. You are responsible for informing your customers that they may be interacting with AI-powered systems.
  • Account Security: Maintaining the security of any accounts, credentials, or API keys shared with Learnmind.ai.
  • Timely Feedback: Reviewing and providing feedback on system configurations within reasonable timeframes to avoid project delays.

Pricing and Payment

Pricing is outlined in each client's proposal or service agreement. Our fees may include:

  • Setup Fee: A one-time fee covering discovery, system design, build, testing, and launch.
  • Monthly Retainer: An ongoing fee covering system management, monitoring, optimisation, and support.
  • Performance-Based Fees: Where agreed, fees tied to specific outcomes or metrics.
  • Additional Work: Any work outside the original scope will be quoted separately and requires your approval before we proceed.

Invoices are issued according to the schedule set out in your service agreement. Payment is due within the timeframe specified on each invoice (typically 7 days). Late payments may result in service suspension. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is lower.

Intellectual Property

  • Client Content: You retain ownership of all content, data, branding, and materials you provide to us. You grant us a licence to use them solely for delivering our services.
  • Learnmind.ai Systems: We retain ownership of all proprietary tools, frameworks, methodologies, code, templates, and workflows developed by Learnmind.ai. You receive a licence to use the systems we build for you during the service relationship.
  • Custom Configurations: Conversation flows, knowledge base content, and system configurations created specifically for your business become your property upon full payment. We retain the right to use anonymised versions for internal training and marketing.

Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. This includes business strategies, customer data, pricing structures, and technical configurations. Confidentiality obligations survive termination for two years.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from a third party, or required to be disclosed by law.

Service Levels and Availability

We strive to maintain high availability for all systems we manage but do not guarantee 100% uptime. System availability may be affected by scheduled maintenance, third-party platform outages, or factors outside our reasonable control. We will resolve disruptions promptly and communicate status updates.

Limitation of Liability

  • Learnmind.ai's total aggregate liability shall not exceed the total fees paid by you in the six months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, business, or data.
  • We are not liable for outcomes resulting from customer interactions with AI systems, nor for third-party platform changes or outages.

Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill, care, and professionalism. Beyond this, services are provided "as is." We do not warrant that AI-generated responses will be error-free or that systems will operate without interruption. AI technology is inherently probabilistic. We disclaim all other warranties, express or implied.

Termination

  • By Client: You may terminate with 30 days' written notice. Fees for work completed remain due. Setup fees are non-refundable once work has commenced.
  • By Learnmind.ai: We may terminate with 30 days' written notice, or immediately for unremedied breach.
  • For Non-Payment: We may suspend or terminate services if payment is more than 14 days overdue.

Upon termination, we will provide reasonable transition assistance subject to payment of outstanding amounts. Data will be deleted or returned within 30 days unless retention is required by law.

Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet failures, third-party platform outages, or cyberattacks.

Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, United States. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association rules, seated in Albuquerque, New Mexico.

Modifications

We may update these Terms from time to time. Active clients will be notified via email. Continued use of our services constitutes acceptance. If you disagree with changes, you may terminate per the termination provisions above.

Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement

These Terms, together with any signed service agreement, constitute the entire agreement between you and Learnmind.ai, superseding all prior negotiations and agreements.
